Scan2Evolve – Terms & Conditions

These Terms & Conditions ("Agreement") govern your access and use of the Scan2Evolve platform, applications, website, APIs, mobile apps, and all related services ("Services").

By creating an account or using the Services, you agree to be bound by this Agreement.

If you are accepting this Agreement on behalf of a company or organisation, "you" refers to that entity, and you confirm you are authorised to bind the entity.

1. Definitions

  • "Scan2Evolve" / "We" / "Us" – means Scan2Evolve Technologies Private Limited (or its affiliated entity operating the platform).
  • "Customer" / "You" – the person or organisation using the Services.
  • "End User" – any individual invited or authorised by you to use the Services.
  • "Your Data" – all information, documents, images, inspection results, templates, or any content uploaded or generated by you.
  • "Subscription Term" – the period for which you have subscribed to the Services.
  • "Third-Party Systems" – any non-Scan2Evolve applications or platforms you integrate with (e.g., ERP, CRM, CMMS).

2. Scope of Service

Scan2Evolve provides:

  • Cloud-based inspection management
  • Work request & work order management
  • Asset management
  • Mobile inspections
  • Conditional logic forms
  • API-based integrations
  • Reporting, dashboards, and analytics
  • User management and access control
  • Optional CMMS integration capabilities

We may enhance, modify, or improve features from time to time.

3. Account Registration and Responsibilities

3.1 User Accounts

  • Every End User requires an individual account.
  • Accounts must not be shared.
  • You are responsible for all actions taken under your accounts.

3.2 Minimum Age

You confirm all End Users are at least 18 years old.

3.3 Security

You must:

  • maintain confidentiality of credentials
  • ensure authorised access only
  • notify us promptly in case of unauthorised access

4. License & Use Restrictions

We grant you a non-exclusive, non-transferable, non-sublicensable license to use the Services during your Subscription Term.

You agree NOT to:

  • copy, modify, or create derivative works of the Services
  • reverse-engineer or extract source code
  • use the platform to build a competing software
  • resell or distribute the Services
  • overload, disrupt, or bypass security controls
  • upload malicious code, viruses, spam, or harmful content

Any breach may result in suspension or termination.

5. Your Data

5.1 Ownership

You own all rights to Your Data.

5.2 License to Scan2Evolve

You grant us a limited license to:

  • store, process, and display Your Data
  • create aggregated, anonymised insights
  • provide support and improve Services

We will never sell Your Data.

5.3 Backups

You are responsible for maintaining backups of Your Data.

5.4 Deletion

Upon termination, Your Data will be deleted according to our retention policy unless legally required to retain it.

6. Data Protection, Privacy & Security

We implement industry-standard security measures including:

  • encryption in transit & at rest
  • access control & audit logs
  • role-based permissions
  • secure APIs

We comply with applicable data protection laws, including GDPR/CCPA where relevant.

Your organisation is responsible for:

  • collecting necessary consents from users
  • ensuring lawful submission of personal data
  • maintaining compliance with applicable laws

7. Integrations & Third-Party Systems

You may integrate Scan2Evolve with third-party software (ERP, CMMS, CRM, ticketing systems, etc.) using our APIs.

You acknowledge:

  • We do not control Third-Party Systems.
  • We are not responsible for failures caused by third-party changes, outages, or errors.
  • You must configure and manage your own credentials, API keys, and client secrets.

API Usage

Your organisation is issued Client ID & Client Secret for secure integration.

You must ensure they are:

  • kept confidential
  • rotated regularly
  • used within permitted rates

Abuse of API access may result in suspension.

8. Intellectual Property

Scan2Evolve retains all rights to:

  • the platform
  • software, UI/UX, and code
  • mobile apps
  • branding and logos
  • system architecture
  • templates created by us

Your Data remains yours.

9. Fees, Billing & Payments

  • Subscription Fees are billed monthly or annually, as per Order.
  • Fees are non-refundable unless stated otherwise.
  • Adding additional users may incur prorated charges.
  • Taxes (GST/VAT) apply where required.
  • Failure to pay may result in suspension after notice.

10. Service Availability

We aim for 99.9% uptime, excluding:

  • maintenance windows
  • force majeure events
  • external network failures
  • issues caused by third-party systems

We will notify you of major outages where reasonably possible.

11. Warranties & Disclaimers

The Services are provided "as is" without warranties of:

  • fitness for a specific purpose
  • uninterrupted service
  • error-free operation

Scan2Evolve does not provide regulatory, legal, safety, or compliance advice. You are solely responsible for your organisation's compliance requirements.

12. Limitation of Liability

To the maximum extent allowed by law:

  • We are not liable for indirect, incidental, special, or consequential damages.
  • Our total liability in any claim is capped at the amount paid by you in the past 12 months.

13. Term, Suspension & Termination

You may terminate at any time; prepaid fees will not be refunded.

We may suspend or terminate if:

  • you violate terms
  • use the system unlawfully
  • fail to pay even after notice
  • pose security risk

Upon termination:

  • All access ceases
  • You must export Your Data within 30 days
  • We delete remaining data after retention period

14. Confidentiality

Both parties agree to maintain confidentiality of:

  • business information
  • system design
  • pricing
  • non-public information

Except where required by law.

15. Updates to Terms

We may update these Terms periodically. You will be notified, and continued use of the Services constitutes acceptance.

16. Governing Law

This Agreement is governed by the laws of India, unless otherwise specified in your commercial agreement.
